Stora Enso to separate Bergslagets Skogar into a new listed company

Roschier advises Stora Enso as lead legal counsel in connection with the planned cross-border partial demerger of its Swedish forest assets business into Bergslagets Skogar and the proposed listing of the new company on Nasdaq Stockholm and Nasdaq Helsinki.

The separation would create Europe’s largest listed pure-play forest company and sharpen Stora Enso’s focus on renewable materials and packaging. It is intended to unlock the potential of both businesses, optimize capital allocation, and enable each company to pursue its own strategic priorities.

Under the plan, Stora Enso’s shareholders would receive one share in Bergslagets Skogar for each corresponding Stora Enso share held, while retaining their existing shares in Stora Enso.

The demerger is subject to shareholder approval at an Extraordinary General Meeting, and completion is planned for March 31, 2027, with trading in Bergslagets Skogar’s shares expected to begin as soon as possible thereafter.

Roschier’s advisory team comprises professionals from both Helsinki and Stockholm.
