Roschier represents a MEAG-led consortium in its acquisition of forest lands from Stora Enso

A consortium led by MEAG, the asset manager of global reinsurance company Munich Re and ERGO (the “Consortium”), has acquired forest lands from Stora Enso. Roschier acted as legal advisor to the Consortium.

The transaction involves the establishment of a newly formed forestry company, in which the Consortium will acquire a majority stake alongside Soya Group. Stora Enso will retain a minority shareholding in the new forestry company. The divested assets represent approximately 12.4% of Stora Enso’s total forest land holdings in Sweden and are valued at an enterprise value of EUR 900 million (approximately SEK 9.8 billion).

As part of the transaction, the parties have agreed to enter into a long-term wood supply agreement to ensure continued wood supply for Stora Enso’s Swedish operations. In addition, the new forestry company will operate under a forest management agreement with Stora Enso, which will continue to provide forest-related services.

The transaction is subject to customary regulatory approvals and is expected to close in the third quarter of 2025.
