
Multiconsult and Rejlers announce a cross-border merger

The boards of directors of Multiconsult ASA and Rejlers AB have adopted a cross-border merger plan for the combination of the companies, with Rejlers AB as the surviving company and Multiconsult ASA as the transferring company.
The new group will be named Multiconsult Rejlers AB, and is expected to become a leading pan-Nordic multidisciplinary consultancy group. Multiconsult Rejlers AB will remain listed on Nasdaq Stockholm and apply for a secondary listing on Euronext Oslo Børs.
Stiftelsen Multiconsult is the largest shareholder of Multiconsult ASA, holding approximately 21.9 per cent of the shares and votes in Multiconsult ASA.
As a result of the cross-border merger and a related share-exchange with one of the larger shareholders of Rejlers AB, Stiftelsen Multiconsult is expected to hold approximately 11 per cent of the share capital and approximately 12 per cent of the voting rights in Multiconsult Rejlers AB.
