Boliden acquires controlling stake in Nexa Resources

Roschier is advising Votorantim, one of Latin America’s largest investment holding companies, in connection with Boliden’s acquisition of all of Votorantim’s shares in Nexa Resources, pursuant to which Boliden will become the majority shareholder of Nexa Resources.

Nexa Resources is a mining company with operations across Latin America dedicated to the exploration, extraction, processing, and commercialization of zinc, copper, and lead concentrates with contents of silver and gold. The transaction expands Boliden’s position as one of the global leaders in zinc mining and smelting, reinforces its standing within both base and precious metals, and expands its presence into two highly prolific mining jurisdictions in Latin America – Brazil and Peru. Boliden’s century-long track record combined with Nexa Resources’ 65+ year history of regional expertise provides a proven foundation for future sustainable and long-term value creation.

Under the terms of the transaction, Votorantim will receive newly issued Boliden shares for its Nexa Resources shares, resulting in Boliden becoming the owner of 64.68% of the total shares and votes in Nexa Resources, and Votorantim becoming the owner of approximately 7.0% of the total shares and votes in Boliden. The total implied consideration for the transaction is USD 1.31 billion. Closing is subject to approval by Boliden’s shareholders at an extraordinary general meeting, receipt of regulatory approvals, and other customary closing conditions.
