Roschier represents the Eltel companies in the cartel proceeding, in which the FCCA has alleged an infringement and proposed to the Market Court the imposition of a € 35 million fine. The FCCA's fining proposal was dismissed by the Market Court in March 2016 as time-barred. The case is now pending before the Supreme Administrative Court based on the FCCA's appeal. (Pending)

Roschier represented Digita Networks Oy in FICORA's investigation related to Digita's significant market power in the Finnish digital terrestrial television and radio broadcasting markets. The work included, inter alia, substantial statements to and meetings with FICORA and the European Commission, and a subsequent appeal of FICORA's decision to the Supreme Administrative Court where an oral hearing held in January 2018. Roschier represents Trygg-Hansa in relation to the Swedish Competition Authority investigation into the insurance sector. A series of on-site inspections (dawn raids) took place in spring 2017. All major insurance companies in Sweden, as well as the largest insurance broker are being investigated. (Ongoing)

Roschier represented YIT Corporation in its combination with Lemminkäinen. The combination was effected through an absorption merger whereby Lemminkäinen was merged into YIT. The combination was subject to multijurisdictional merger notification which Roschier was handling as lead counsel assisted by local counsels in several jurisdictions. The merger was approved unconditionally in all jurisdictions it was notified in, including by the Finnish Competition and Consumer Authority which approved it on 26 January 2018 after a second phase investigation. Roschier represented Sandvik as their full service deal counsel including handling the global coordination of  competition authority approval processes of 1) the SEK 5 billion carve-out and divestment of the Sandvik Process Systems division to Foundation Asset Management AB, owned by the three largest Wallenberg foundations, and 2) in the SEK 4 billion sale of Hyperion, a company delivering advanced wear-resistant tools, applications and components in hard and super-hard materials, to KKR, the US-listed investment firm. Roschier represented Telia Company as a full service deal counsel including handling the notifications of the transactions to the Finnish Competition and Consumer Authority (FCCA) in relation to Telia Company's recent acquisition of Inmics Oy, a Finnish ICT company, and acquisition of Nebula, a cloud services provider. The acquisition of Nebula was cleared by the FCCA in June 2017 and the acquisition of Inmics in January 2018. (6-12/2017)

Roschier represented Nokia Corporation in its recommended cash tender offer for Comptel Corporation. Shareholders representing jointly approximately 48.3 percent of the shares and votes in Comptel had given irrevocable undertakings to accept the offer. Nokia gained title to more than 90% of the shares in Comptel and commenced squeeze-out proceedings to redeem the remaining shares in Comptel. The acquisition was part of Nokia's strategy to build a standalone software business. Roschier's competition team was lead counsel in the multijurisdictional merger control review of the transaction.With the assistance of local counsels the transaction was notified in Germany and Austria as well as certain non-EU jurisdictions.
